Terms of Service

By accessing or using answara.ai's services, website, or applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

These Terms constitute a legally binding agreement between you and Ramp Advisory Partners LLC ("answara.ai," "we," "us," or "our"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

To use the Service, you must: • Be at least 18 years old or the age of majority in your jurisdiction • Have the legal capacity to enter into a binding agreement • Not be prohibited from using the Service under applicable laws • Provide accurate, current, and complete registration information

When you create an account, you agree to: • Maintain the security and confidentiality of your login credentials • Immediately notify us of any unauthorized access to your account • Accept responsibility for all activities that occur under your account • Not share your account credentials with third parties

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

answara.ai provides AI-powered communication agents and related services designed to help businesses automate and enhance their customer interactions. Our Service includes:

• AI voice and chat agents for customer communication • Dashboard and analytics for monitoring agent performance • Integration capabilities with third-party services • Knowledge base management tools • Call recording and transcription features

We continuously improve and update the Service. We may add, modify, or discontinue features at our discretion. We will provide reasonable notice before discontinuing material features that you actively use.

The Service is provided on an "as available" basis. While we strive for maximum uptime, we do not guarantee uninterrupted access and may perform scheduled maintenance with advance notice when possible.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

Prohibited Activities: • Use the Service for any illegal, fraudulent, or harmful purpose • Impersonate any person or entity or misrepresent your affiliation • Transmit spam, phishing attempts, or malicious content • Attempt to gain unauthorized access to our systems or other users' accounts • Interfere with or disrupt the integrity or performance of the Service • Reverse engineer, decompile, or attempt to extract source code • Use automated systems to access the Service without our permission • Resell, sublicense, or redistribute the Service without authorization

Content Restrictions: • Do not use our AI agents to harass, threaten, or discriminate against individuals • Do not transmit content that is defamatory, obscene, or violates third-party rights • Do not use the Service to collect personal information without proper consent • Ensure all communications comply with applicable telemarketing and privacy laws

Subscription Plans: Our Service is offered through various subscription plans as described on our pricing page. By selecting a plan, you agree to pay the applicable fees according to the billing cycle you choose (monthly or annual).

Billing & Payment: • Fees are billed in advance on a recurring basis • All payments are processed through our secure payment processor • You authorize us to charge your payment method for all applicable fees • Prices are exclusive of taxes, which will be added where required by law

Price Changes: We may modify our prices with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle. If you do not agree to the price change, you may cancel your subscription before it takes effect.

Failed Payments: If payment fails, we may suspend access to the Service until payment is received. We will attempt to notify you before suspension and provide a reasonable opportunity to update your payment information.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation: • Your access will continue until the end of your current billing period • No further charges will be made after cancellation takes effect • You remain responsible for any outstanding fees

Refund Policy: • Monthly subscriptions: No refunds for partial months • Annual subscriptions: Pro-rata refund for unused months if cancelled within the first 30 days • We may offer refunds at our discretion for service issues or billing errors

Downgrades: If you downgrade your plan, the new rate takes effect at your next billing cycle. No refunds or credits are provided for the difference in plan pricing during the current period.

Our Intellectual Property: The Service, including all software, algorithms, designs, documentation, and content created by answara.ai, is protected by copyright, trademark, patent, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service according to these Terms.

Your Content: You retain ownership of content you upload to the Service ("Your Content"). By uploading content, you grant us a license to use, process, and store Your Content solely to provide the Service. This license terminates when you delete Your Content or close your account.

AI-Generated Content: Content generated by our AI agents based on your knowledge base and configurations is considered Your Content. You are responsible for reviewing and ensuring the accuracy of AI-generated communications.

Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use such feedback without restriction or compensation.

Our Privacy Policy, available at /privacy, describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.

Data Processing: • We process data in accordance with applicable data protection laws including GDPR and CCPA • We implement industry-standard security measures to protect your data • We may use subprocessors to help provide the Service, subject to appropriate safeguards

Call Recording: Our Service may record calls for quality assurance and training purposes. You are responsible for: • Obtaining necessary consents from call participants where required by law • Complying with all applicable recording disclosure requirements • Configuring recording settings according to your legal obligations

Data Retention: We retain your data for the duration of your subscription plus a reasonable period for backup and legal compliance purposes. Upon account deletion, we will delete or anonymize your data within 90 days, except where retention is required by law.

By creating an account and providing your phone number, you expressly consent to receive telephone calls and SMS text messages from answara.ai at the phone number(s) you provide, including messages delivered by automatic telephone dialing systems and pre-recorded or artificial voice messages where applicable. Your consent to receive marketing communications is not a condition of purchasing any goods or services. Transactional messages related to your account and the operation of the Service are, however, required in order to use the Service.

Types of Messages: • Transactional (required): account verification, billing and payment notifications, security alerts, support ticket updates, and other messages necessary to operate the Service. • Operational: scheduled maintenance notices, incident and outage alerts, and changes to your subscription or these Terms. • Marketing (opt-in only): promotional offers, product announcements, newsletters, and onboarding tips. These are only sent if you separately opt in.

Message Frequency: Message frequency varies based on your account activity and preferences. You should not expect a fixed number of messages per month.

Message & Data Rates: Standard message and data rates may apply. Consult your mobile carrier for details. answara.ai is not responsible for charges assessed by your carrier.

How to Opt Out of SMS: You may opt out of marketing SMS at any time by replying STOP to any marketing text message from us. You will receive a one-time confirmation message, after which you will no longer receive marketing texts from that sender. Reply HELP to any message for assistance.

How to Opt Out of All Non-Essential Communications: To opt out of all non-essential communications (marketing emails, marketing SMS, product newsletters, and onboarding campaigns), email [email protected] from the email address associated with your account, with the subject line "UNSUBSCRIBE." We will process your request within ten (10) business days. You will continue to receive transactional and operational messages required to deliver the Service.

Transactional Messages Cannot Be Opted Out: You cannot opt out of transactional or operational messages (such as billing notifications, security alerts, password resets, and required service communications) while your account remains active. If you do not wish to receive these messages, you must close your account.

End-User Communications (Customers Using Our Service): If you use answara.ai to place, receive, or otherwise originate calls or text messages with your own customers or end users, you are solely responsible for obtaining all legally required consents from those end users under the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, CAN-SPAM, CASL, GDPR, and any other applicable federal, state, provincial, or international laws. answara.ai provides the underlying platform; you are the sender, caller, and data controller of record for communications made through your account and remain fully responsible for compliance.

SMS Program Terms: Program Name: answara.ai SMS

Program Description: When you opt in, you may receive SMS messages from answara.ai relating to your account (such as verification codes, billing and payment notifications, security alerts, and support ticket updates) and, if you separately opt in to marketing, occasional product announcements, promotional offers, and onboarding tips.

You can cancel the SMS service at any time. Just text "STOP" to the number from which you received the message. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

Carriers are not liable for delayed or undelivered messages.

Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: • The Service will be uninterrupted, timely, secure, or error-free • Results obtained from the Service will be accurate or reliable • The Service will meet your specific requirements • AI-generated responses will be free from errors or suitable for your purposes

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, answara.ai SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless answara.ai and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service • Your violation of these Terms • Your violation of any third-party rights • Your Content or the content of communications made through the Service • Any claims that your use of the Service violated applicable laws or regulations

We will promptly notify you of any such claim and provide reasonable assistance in the defense. You may not settle any claim without our prior written consent if the settlement would require us to admit liability or take any action.

Termination by You: You may terminate your account at any time by following the cancellation process in your account settings or by contacting support. Termination takes effect at the end of your current billing period.

Termination by Us: We may suspend or terminate your access to the Service immediately if: • You breach these Terms or any applicable laws • You fail to pay applicable fees after notice and opportunity to cure • Your use of the Service poses a security risk or legal liability • We are required to do so by law

Effect of Termination: Upon termination: • Your right to access the Service immediately ceases • We may delete your data after a reasonable retention period • Provisions that by nature should survive will remain in effect (including intellectual property, disclaimers, limitations of liability, and dispute resolution)

Governing Law: These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Dispute Resolution: Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 60 days.

Arbitration Agreement: Any disputes not resolved informally shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted in English and held in Wilmington, Delaware, or remotely as agreed.

Class Action Waiver: YOU AGREE TO RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

Entire Agreement: These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and answara.ai regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, or internet or infrastructure failures.
